You represent that you are at least 18 years old and have the legal capacity to enter into this binding agreement.

All content is provided for educational and informational purposes only. SMH-GrowUp does not guarantee specific business results, financial performance, or any particular outcomes from participation in our Services.
Proposals and Agreements
Any proposals, quotes, or service agreements provided by SMH-GrowUp will outline the specific Services to be rendered, the scope of work, and associated fees. When accepted by you, these documents form a binding agreement between you and SMH-GrowUp, subject to these Terms.
Scope of Work Defined
Each proposal clearly defines deliverables, timelines, and responsibilities.
Binding Upon Acceptance
Your acceptance—written or electronic—constitutes a legal agreement.
Proposal Takes Precedence
In case of conflict, the specific proposal or agreement shall prevail over these Terms.

All proposals are valid for 30 days from the date of issuance unless otherwise stated. Contact us promptly to confirm your engagement and secure your preferred program dates.
Payment Terms
Currency & Timing
All fees are due as specified in the applicable proposal, invoice, or service agreement. Payments are processed in USD unless otherwise agreed in writing.
Non-Refundable Fees
Unless otherwise stated in a written agreement, all fees are non-refundable upon payment. Please review your agreement carefully before submitting payment.
Pricing Changes
SMH-GrowUp reserves the right to update pricing and payment terms at any time. Changes will not affect previously executed agreements unless agreed upon in writing.
Late Payments
Overdue balances may incur interest charges and may result in suspension or termination of access to Services until the account is brought current.
Cancellation & Refunds
All Sales Are Final
SMH-GrowUp does not offer refunds for Services rendered or purchased. Once a program is sold, the transaction is considered complete and binding.
Exceptional Circumstances
At SMH-GrowUp's sole discretion, a one-time program transfer may be considered if a participant is unable to attend a scheduled live event. This must be requested in advance and approved in writing.

No credits, partial refunds, or exceptions will be granted without explicit written consent from an authorized representative of SMH-GrowUp Business Training Inc.
Intellectual Property Rights
All content, materials, software, templates, videos, and intellectual property provided by SMH-GrowUp are the sole property of SMH-GrowUp or its licensors, protected by copyright, trademark, and applicable IP laws.
Limited License Granted
You receive a limited, non-exclusive, non-transferable license to use materials solely for personal, non-commercial educational purposes.
Restrictions Apply
You may not reproduce, distribute, resell, modify, or create derivative works from any SMH-GrowUp intellectual property.
Written Permission Required
Any use beyond the scope of the granted license requires our express prior written permission.
Limitation of Liability
To the maximum extent permitted by applicable law, SMH-GrowUp, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Access & Use
No liability for damages resulting from your access to, use of, or inability to use our Services.
Third-Party Conduct
No liability for any conduct or content of third parties encountered through our Services.
Unauthorized Access
No liability for unauthorized access, use, or alteration of your transmissions or content.
Loss of Data
No liability for any loss of data, profits, revenues, goodwill, or other intangible losses.

This limitation applies whether or not SMH-GrowUp has been advised of the possibility of such damages. Some jurisdictions may not allow certain exclusions; local law may apply.
Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Any legal action or proceeding arising out of or relating to these Terms or our Services shall be exclusively brought in the state or federal courts located within the State of Delaware.

Consent to Jurisdiction: By using our Services, you hereby consent to the personal jurisdiction and venue of the courts of the State of Delaware for the resolution of any disputes.
